Transaction Unites Three Mission-Aligned Organizations, Accelerating Product Innovation and Growth Across Origination and Servicing
BWE, a national commercial and multifamily mortgage banking company, today announced that Bayview MSR Opportunity (US) Master Fund, L.P. (the “MSR Fund”), a fund managed by Bayview Asset Management, LLC, and Springmont Capital (“Springmont”), the private investment office of the Morgan Family, have agreed to purchase a majority interest in BWE, with Bayview slated to become the majority owner. BWE management will remain a significant minority owner, with CEO DJ Effler continuing to lead the business under its established brand.

This transaction unites BWE’s proven producer network and community relationships with the MSR Fund’s mortgage servicing expertise to create one of the most compelling independent commercial mortgage banking and servicing platforms in the country.

BWE has achieved record growth, expanding its loan production volume across market rate and affordable housing properties while increasing its servicing portfolio over the past several years. This
new strategic partnership will accelerate that momentum, bringing deep commercial real estate expertise, direct deal flow, and expanded financing capabilities to BWE’s already comprehensive capital solutions platform.
The transaction is expected to close in Fall 2026, subject to applicable regulatory and counterparty approvals and other customary closing conditions. Wells Fargo served as exclusive financial advisor to BWE and White & Case LLP served as legal counsel to BWE. Mayer Brown LLP served as legal advisor to the MSR Fund and Springmont.
